Overview

These Terms & Conditions apply to quotations, proposals, invoices, change orders, and work performed by Remarkable Woodworks unless otherwise agreed in writing.

1. Scope of Work

The scope of work is limited to the items, materials, finishes, services, and installation details specifically described in the approved proposal, quote, invoice, or change order. Any work not expressly included is excluded unless added by written change order.

2. Quotes and Validity

Quotes are valid only until the expiry date shown on the proposal. Pricing may change after that date due to material costs, supplier pricing, labour availability, or changes to the project scope. A project is not scheduled for production until Remarkable Woodworks confirms acceptance, payment requirements are satisfied, and required project details are complete.

3. Payment Terms

Payment schedules are shown in the approved proposal or invoice. Unless otherwise agreed in writing, invoices are payable upon receipt. Work, material ordering, fabrication, delivery, or installation may be paused until required payments are received. Accepted payment methods may include e-transfer, cheque, or bank transfer. Online credit card payment is not offered unless specifically stated. HST is charged where applicable at the current Ontario rate.

4. Deposits

If a deposit is required, materials may not be ordered and production may not begin until the deposit has been received and cleared. Deposits may be used to secure scheduling, purchase materials, reserve production time, or begin design and fabrication work. Deposits are non-refundable once materials have been ordered, production has begun, or project-specific work has been performed.

5. Changes and Change Orders

Changes to the approved scope, design, materials, finishes, dimensions, timing, installation conditions, or site requirements may affect price and schedule. Additional work must be approved through a written change order before the work proceeds. Approved change orders become part of the project agreement and may require additional payment before completion.

6. Materials and Natural Variation

Wood is a natural material. Variations in grain, colour, tone, knots, mineral streaks, figure, texture, and natural markings are expected and are not considered defects. Samples, photographs, and previous projects are representative only. Final appearance may vary. Wood may expand, contract, darken, lighten, or otherwise change over time due to humidity, temperature, light exposure, and normal aging.

7. Site Measurements and Site Conditions

Final dimensions are subject to site verification. The client is responsible for providing accurate information about the project location and ensuring the site is accessible, safe, and ready for measurement, delivery, and installation. Unexpected site conditions, uneven walls or floors, hidden plumbing, electrical, structural issues, or other concealed conditions may require additional work, schedule changes, or additional charges.

8. Client Responsibilities

The client is responsible for: - providing timely decisions and approvals; - confirming design selections, materials, finishes, and hardware; - ensuring site access; - ensuring the installation area is ready; - coordinating other trades unless otherwise agreed; - securing approvals, permits, or condo/building permissions where required. Delays caused by missing decisions, site readiness, other trades, access issues, or client-supplied items may affect project timing and cost.

9. Client-Supplied Materials and Third-Party Products

Remarkable Woodworks is not responsible for defects, delays, compatibility issues, installation issues, warranty claims, or performance problems related to client-supplied materials, hardware, fixtures, appliances, or third-party products. If client-supplied items cause delays or require additional work, additional charges may apply.

10. Timelines

Project timelines are estimates provided in good faith and are not guaranteed. Timelines may be affected by supplier delays, material availability, weather, illness, site readiness, client changes, third-party trades, or circumstances beyond the control of Remarkable Woodworks. Remarkable Woodworks is not responsible for indirect costs, inconvenience, loss of use, or other damages caused by reasonable project delays.

11. Installation

The client must ensure that the installation site is accessible, safe, clean, and ready at the scheduled time. Additional visits, delays, or site preparation required due to conditions outside the agreed scope may result in additional charges. Minor touch-ups or adjustments may be required after installation and do not constitute failure to complete the project.

12. Warranty

Remarkable Woodworks warrants its workmanship for one year from the date of substantial completion. This warranty does not cover: - normal wear and tear; - misuse, abuse, neglect, or improper cleaning; - water damage or excessive moisture; - heat, humidity, dryness, or environmental movement; - building movement or settling; - damage caused by other trades; - client-supplied materials or hardware; - natural variation or movement in wood; - changes made by others after installation. Warranty work is limited to repair or adjustment, at the discretion of Remarkable Woodworks.

13. Care and Maintenance

The client is responsible for proper care and maintenance of finished work. Woodwork should be protected from excessive moisture, standing water, harsh cleaners, extreme heat, and rapid humidity changes. Failure to maintain appropriate indoor conditions may void warranty coverage.

14. Ownership of Designs

All drawings, sketches, concepts, renderings, shop drawings, measurements, design ideas, templates, and related intellectual property remain the property of Remarkable Woodworks unless otherwise agreed in writing. They may not be copied, reproduced, shared with another contractor, or used to produce work by others without written permission.

15. Photography and Portfolio Use

Remarkable Woodworks may photograph completed work for portfolio, website, social media, advertising, and marketing use. No personal client information will be intentionally disclosed. Clients may request exclusion from photography or marketing use in writing before project completion.

16. Limitation of Liability

To the fullest extent permitted by law, the liability of Remarkable Woodworks is limited to the amount paid for the work giving rise to the claim. Remarkable Woodworks is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of use, inconvenience, lost profits, or costs related to delay.

17. Cancellations and Pauses

If a project is cancelled, paused, or postponed by the client after approval, the client remains responsible for work performed, materials ordered, design time, administrative time, and any non-recoverable costs incurred. Custom or special-order materials may not be returnable.

18. Outstanding Balances

Remarkable Woodworks may withhold delivery, installation, warranty service, additional work, or project documentation while amounts are overdue. The client remains responsible for all approved amounts, including approved change orders and outstanding invoices.

19. Governing Law

These Terms & Conditions are governed by the laws of the Province of Ontario and the applicable laws of Canada.

20. Acceptance

Approval of a quote, proposal, invoice, change order, or written authorization to proceed confirms acceptance of these Terms & Conditions.
